Terms of Service

RenewalPad is a software product owned and operated by Cobalt Glacier, LLC, a Delaware limited liability company ("Cobalt Glacier", "we", "us", or "our"). RenewalPad is a product of Cobalt Glacier, LLC and is not a separate legal entity. References to "RenewalPad" in these Terms are to the software, website, and related services made available by Cobalt Glacier under the RenewalPad brand (collectively, the "Service").

These Terms of Service ("Terms") form a binding agreement between Cobalt Glacier and the entity or person ("Customer", "you") that creates an account, signs an order form, or otherwise accesses RenewalPad.

By accepting these Terms — including by checking the agreement box at sign-up, signing an order form, or accessing the Service — you also accept and are bound by the following documents, each of which is incorporated into these Terms by reference and forms part of the agreement between you and Cobalt Glacier:

• The RenewalPad Privacy Policy, which describes how Cobalt Glacier collects, uses, and shares information through the Service and website.
• The RenewalPad Data Processing Addendum (DPA), which governs Cobalt Glacier's processing of personal data on your behalf, including GDPR, UK GDPR, and US state-privacy commitments, and applies automatically when the Service processes personal data on your behalf.

You do not need to sign the Privacy Policy or DPA separately. Your acceptance of these Terms constitutes acceptance of both. In the event of conflict, the DPA controls for the subject matter of personal data processing; otherwise these Terms control.

RenewalPad is a procurement-intelligence platform that ingests data about your software vendors (contracts, invoices, usage signals) and produces renewal calendars, benchmark estimates, negotiation playbooks, and related outputs (the "Service"). Cobalt Glacier may modify, add, or retire features over time, but will not materially degrade the core Service during a paid term.

You agree to:

• Provide accurate registration information and keep it current.
• Keep credentials confidential and be responsible for activity under your account.
• Not reverse engineer, resell, or use the Service to build a competing product.
• Not upload data you are not permitted to share, including third-party confidential information you are contractually restricted from disclosing.

Fees are described on the RenewalPad pricing page or your order form. Plans are billed monthly or annually in advance. Annual plans receive a 10% discount. All fees are non-refundable except as required by law or expressly stated. Cobalt Glacier may change list pricing for new terms with at least 30 days' notice; your current term's pricing is locked.

"Customer Data" means data you submit to the Service. As between the parties, you own Customer Data. You grant Cobalt Glacier a limited license to host, process, and transmit Customer Data solely to provide the Service and as described in our Privacy Policy and Data Processing Addendum.

Each party will protect the other's confidential information with at least the care it uses for its own confidential information of similar importance, and will not disclose it except to personnel with a need to know who are bound by confidentiality obligations.

Cobalt Glacier may use de-identified, aggregated data derived from the Service to produce benchmarks, statistics, and product improvements. Such outputs will not identify you, your vendors, or any individual.

Cobalt Glacier maintains administrative, technical, and physical safeguards designed to protect Customer Data. A summary of current controls is available on request and in the DPA.

These Terms apply for the duration of your subscription. Either party may terminate for material breach not cured within 30 days of written notice. On termination, your access ends and Customer Data will be deleted or returned in accordance with the DPA.

Cobalt Glacier warrants it will provide the Service in a professional manner consistent with industry standards. Except for the foregoing, the Service is provided "as is" and Cobalt Glacier disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Benchmarks, savings estimates, and negotiation guidance are informational and do not constitute legal, tax, or financial advice.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid by Customer to Cobalt Glacier in the 12 months preceding the event giving rise to the claim. These limitations do not apply to a party's confidentiality breaches, indemnity obligations, or amounts owed.

Cobalt Glacier will defend you against third-party claims that the Service, as provided and used as permitted, infringes a valid US intellectual property right, and pay damages finally awarded. You will defend Cobalt Glacier against third-party claims arising from Customer Data or your misuse of the Service.

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and each party consents to that jurisdiction.

Cobalt Glacier may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before taking effect for existing customers.
